The Role Responsibilities
- Awareness and understanding of the Group’s business strategy and model appropriate to the role.
Responsible for the delivery of key processes to do with legal entity management and governance, including:
- Portfolio management of certain UK and Dutch subsidiary companies, preparation and review of minutes, meeting logistics, statutory filings, and maintenance of company information on Blueprint OneWorld. Where applicable, supporting in the liquidation process of any of the entities in their portfolio (incl. the drafting of GCS section of the corporate action forms).
- To work with the Trainee Company Secretary, Subsidiary Governance to in review and collation of information required in connection with the regulatory filings for overseas branches of Standard Chartered Bank (incl. accounts, director changes and quarterly submissions);
- To assist with the publishing of stock exchange announcements to the London Stock Exchange
- Management of the issuance of Senior Powers of Attorney, and requests for the notarisation and legalisation of Power of Attorneys across the Group.
- Assisting with group structure regulatory reporting (close links).
- Owning and managing the process for the appointment of enduring corporate representatives as and when they occur.
- Executing on requirements and providing general advice around the Group’s Sources of Authority.
- To undertake general company secretarial matters
- To deal with tasks and general queries from within the Group’s network which come through the secretariat email inbox, including the provision of Group entity information, delegated authorities, document execution and subsidiary governance.
- As page owner, maintain the information provided on GCS’ intranet pages.
- Support the Director, Risk and Operations Group Corporate Secretariat and Process Owners with the sampling and testing of controls to ensure compliance with agreed ORF controls and standards and GCS policies.
- Be familiar with the Group’s Enterprise Risk Management Framework (“ERMF”) and relevant Frameworks (including Compliance and Operational Risk) to provide support and guidance on how these impact the function’s policies and procedures.
- To support the Executive Director, Advisory, Capital and Listing and Group Company Secretary (the latter as Policy Owner) on all aspects of policy ownership in regards to the issuance of Group’s Power of Attorney. This includes providing high quality advice and support on policy matters, including format and content of power of attorneys, the development of and engagement with business controls regarding the issuance of powers of attorney, and overseeing the assurance process and assurance requests for the policy.
- To support the Executive Director, Advisory, Capital and Listings on all aspects of the Group’s Sources of Authority Framework, including the Group Delegated Authority Manual and Group Authorised Signature Book.
- To support the Executive Director, Advisory, Capital and Listings to horizon scan for developing and emerging best practice, new legislation, regulatory and corporate governance developments, including preparation and drafting reports and papers on relevant matters, holding masterclasses for secretariat colleagues and maintaining GCS’ obligations register.
- Responsible for ensuring that Department Operating Instructions / Procedures notes are created, maintained, updated and reviewed annually for all the above key responsibilities assigned.
