Practice and Role Summary
Freshfields’ Global Transactions practice brings together lawyers specialising in corporate, finance and real estate in a transactional practice group, working collaboratively to provide the best transactional advice to clients.
Freshfields is seeking a Knowledge Lawyer (maternity cover) to support its global securitisation practice and its global derivatives & structured products practice (see Experience and Qualifications below for requirements):
The global securitisation practice spans a wide range of jurisdictions and asset classes, advising financial institutions, corporates and other market participants. We advise borrowers, lead arrangers and other parties on the full range of transactions in the term, secured corporate bond and conduit markets. We have extensive experience across the full range of securitised products including corporate secured debt, infrastructure bond financings, CMBS, RMBS, pan European trade receivables securitisations and auto loan ABS.
The global derivatives & structured products practice is key to our global corporate treasury strategy. It also encompasses complex high value structured products work for financial institution and global financial investor clients, including strategic equity solutions. It is key to our full service transactional financing offering to clients as many financing transactions across our wider practice have a hedging component.
The Knowledge Lawyer will be part of the London Corporate Finance team which, in addition to securitisation and derivatives & structured products, has a focus on debt capital markets, investment grade lending and real estate finance. Although based in London, he/she will deliver leading-edge knowhow to fee-earners globally to maximise efficiency and minimise risk in line with business priorities.
He/she will drive the creation and dissemination of appropriate knowhow products reflecting key legal and market developments, and deliver, develop and enhance the knowledge function in line with the firm's goals. He/she will develop his/her own skills as well as guiding, coaching and motivating others.
In addition to supporting the partners and other fee earners working in the securitisation and derivatives & structured products practices, the Knowledge Lawyer’s role will also be external-facing, identifying opportunities for client-facing knowledge products and producing thought leadership pieces.
He/she will be one of a team of Knowledge Lawyers in Global Transactions, each specialised in a different product area across finance, corporate and real estate. The team is led by (and the Knowledge Lawyer will report to) the Global Head of Knowledge for Global Transactions.
Experience and Qualifications
Qualified lawyer with a strong academic background.
A high level of relevant successful experience either as a fee-earner or a knowledge management lawyer/professional support lawyer (or a combination) in at least one of:
Where a candidate has a background in one of these areas only, he/she will be able to provide some support to the other area with guidance from relevant partners.
To proactively monitor key regulatory, legal and market developments and disseminate to fee earners in particular teams and, where appropriate, to the wider PG, always considering business development potential and the impact on standard forms, practice notes etc..
To enhance knowhow collections and proactively seek knowhow contributions from fee earners, engaging fee-earners at all levels and encouraging competence in the use of knowhow systems and resources.
To develop and update practice notes and other knowhow “toolkits” and resources, working with fee-earners to identify areas of work offering the most value-add to the relevant practice area, and to ensure the most effective level of input from fee-earners.
To work effectively across, as well as within, Global Transactions and the other practice group Knowledge teams, to coordinate work, minimise duplication, manage risk, share practical tips and ensure that work product is optimised.
To deliver and contribute to training sessions in the training programmes for Global Transactions (including specialist securitisation or derivatives training) and, where appropriate, other practice groups.
To propose topics proactively for inclusion in the training programme.
To understand the business agenda of the firm, Global Transactions and the practice areas he/she supports. To ensure work output is appropriately aligned with business strategy and gives a sufficient return on investment.
To have a global outlook, and to share information across the firm as appropriate, always considering whether a relevant issue has an impact outside of the London practice, and collaborating with colleagues in other offices as necessary.
To help drive the securitisation and derivatives practices’ approach to the market by preparing client knowledge products, in each case demonstrating the team’s leading edge technical capability and market awareness.
To participate in key industry working groups and committees (eg ISDA, AFME and CREFCE), raising his/her own external profile and that of the relevant practice areas.
To play a key role in developing and, where appropriate, delivering, client training, with opportunity for the Knowledge Lawyer to build his/her own client relationships and promote the market leading position and technical expertise of the relevant practice areas.
To collaborate with other Knowledge colleagues on joint workstreams and client-facing initiatives with wider focus across Global Transactions and/or across the firm.
The candidate will:
Have a very sound knowledge of law and market practice in own field and appropriate level of knowledge of relevant legal issues in others.
Be a self-starter with the aspiration and commitment to continuously acquire, build on and share knowledge, able to act as a Knowledge champion and a role model.
Have sound judgment, and be able to establish a high level of credibility with colleagues and external stakeholders. Have the ability to act as a sounding board for fee earners, capable of identifying the key elements of complex problems, directing fee earners to appropriate legal or market source materials, and considering the practical nature of advice when proposing a solution, including the risks. Be able to support fee earners in their decision making process on challenging issues, participating confidently in the analysis as a trusted adviser (for eg, in the securitisation practice, this would include drafting and contributing to risk retention analysis on transactions).
Have excellent oral communication skills, including strong presentation skills.
Show strong written communication skills in legal drafting and when writing in other styles, and the ability to judge content, style and tone for written work as appropriate to the audience.
Be a team player who builds effective relationships at all levels, recognised and respected by partners and other fee earners and by other K team members in Global Transactions and across the firm. Demonstrate a collaborative approach when working with others. Act as an effective mentor to, and delegate to, Knowledge Assistants.
